Sponsorship Terms and Conditions

In consideration of the terms and covenants of this Agreement, and other valuable consideration, the parties agree as follows:

RECITALS

• World AI X Summit organizes events including the World AI X Summit scheduled for May 14 & 15, 2025.
• The Sponsor wishes to enter into this Agreement for mutual promotional benefits.
• World AI X Summit will promote the Sponsor’s brand via websites, marketing, and related channels.
• Both parties are eligible to enter this Agreement and are not disqualified in any manner.

1. TERM

This Agreement shall commence on the Effective Date and end on May 15, 2025, unless extended in writing or terminated per the terms herein.

2. SPONSORSHIP

World AI X Summit, in consideration of the received sponsorship amount, shall actively promote the Sponsor’s brand as detailed in Annexure A, including benefits such as:

• Exhibiting Opportunities
• Speaking slots at conferences or panels
• Branding on the website, stage, signage, and digital magazine
• VIP and networking access
• World AI X Summit nomination
• Startup pitching opportunity
• Appointment Fixing Portal access

3. SPONSOR’S OBLIGATIONS

The Sponsor shall provide logos, company descriptions, and all necessary materials at least one month prior to the event. World AI X Summit is not responsible for delays caused by incomplete Sponsor submissions.

4. LICENSE TO USE SPONSOR'S BRANDING

The Sponsor grants World AI X Summit a perpetual, royalty-free, global license to use Sponsor Materials for marketing purposes including emails, websites, and promotions. This may continue unless explicitly revoked in writing.

5. VARIATION TO PROGRAMME

World AI X Summit reserves the right to adjust the event schedule, location, or agenda at its discretion without notice.

6. NO GUARANTEES AND WARRANTIES

Services are provided “as is” without any warranty of outcomes such as sales, leads, or audience reach. Estimated figures are indicative only and not guaranteed.

7. REFUNDS

All sponsorship payments are non-refundable. If any benefit cannot be provided, World AI X Summit will attempt to substitute an equivalent value benefit but is not obligated to refund.

8. LIMITATION OF LIABILITY

World AI X Summit is not liable for indirect or consequential damages. The Sponsor is responsible for its own operational setup and environment.

9. INDEMNIFICATION

The Sponsor agrees to indemnify World AI X Summit against any claims arising from the use of services, tools, or platforms provided as part of the sponsorship package.

10. TERMINATION

Either party may terminate with 15 days written notice. Immediate termination applies in case of substantial breach. Obligations remain in effect until termination date.

11. NON-DISCLOSURE

World AI X Summit and the Sponsor agree to keep proprietary information confidential. This clause survives termination of the Agreement.

12. MISCELLANEOUS

• This Agreement is the full agreement between the parties.
• Governing law: Manila, Philippines.
• Binding upon successors and assigns.
• Severability: If any clause is invalid, the remainder remains in effect.
• Amendments require written agreement by both parties.
• No partnership is implied.
• Electronic signatures and counterparts are acceptable.
• Each party is responsible for its own taxes.

By entering into this agreement, the Sponsor agrees to all terms and conditions outlined above under World AI X Summit.
